Terms & Conditions

01. Orders & Payments

• Quotations are valid for 3 months from the date of issue.
• Sample orders require 100% payment upfront before production begins.
• Bulk orders require a 50% deposit before production. The remaining 50% is due before shipping.
• All payments are made by bank transfer to the IBAN provided in the invoice.
• Production begins only after payment is confirmed in our account.

02. Production Timelines

• Samples: 4–8 weeks from payment confirmation.
• Bulk production: 6–12 weeks from payment of the deposit, depending on garment type, quantity, and decoration complexity.
• Exact timeline confirmed on the quotation. Rush production may be possible — mainly for returning clients and subject to capacity — at an additional charge confirmed on the quotation.

03. Manufacturing Tolerances

• Garment measurements: ±3–5% variance on fit and dimensions is standard in cut-and-sew manufacturing and is not considered a defect.
• Colour variation: 5–15% variation in wash/dye treatments (pigment dye, enzyme wash, garment dye) is inherent to the process and is not considered a defect.
• Order quantity: ±10% variance on delivered units is standard industry practice. The final invoice reflects the actual quantity produced.
• These tolerances apply to all orders unless explicitly agreed otherwise in writing before production.

04. Quality Standards & Defect Policy

• All production meets EU textile safety and environmental standards.
• Every garment undergoes piece-by-piece quality inspection before shipping.
• What is NOT a defect: Variations within the tolerances stated in section 03, minor thread ends, natural fabric texture differences, slight colour variation between production batches, and characteristics inherent to garment-dyed or washed finishes. These are normal in handcrafted textile manufacturing.
• Defect claims must be reported within 14 days of delivery with photographic evidence. Claims submitted after 14 days will not be accepted.
• White Cotton will review claims within 48 hours. Verified manufacturing defects will be replaced or refunded at our discretion. Return shipping for confirmed defects is covered by White Cotton.

05. Sample Approval

• Bulk production does not begin until the client provides written approval of the sample.
• Sample costs are paid in full and are not credited or refunded against bulk orders.
• Setup fees (screens, film, pattern making) are one-time charges.

06. Cancellation Policy

• Sample orders are non-refundable once production has begun.
• Bulk orders may be cancelled before production starts — the 50% deposit is forfeited.
• Once bulk production has started, the order cannot be cancelled and must proceed to completion.

07. Accessories & Trims

• Accessories are quoted separately and subject to supplier MOQs.
• Composition and washing labels (Made in Portugal) are included free with every order.
• Surplus accessories are stored at our facility for up to 3 years at no cost and can be re-shipped on request at the applicable shipping cost.

08. Intellectual Property & Confidentiality

• All client designs, tech packs, specifications, and brand assets remain the client’s exclusive property.
• White Cotton will not reproduce, share, or use client designs for any purpose other than fulfilling the client’s orders, without explicit written consent.
• All business information, pricing, and project details shared between parties are treated as confidential.

09. Shipping & Delivery

• EU delivery by courier: usually 5–7 working days. Outside the EU, transit time depends on the destination and the carrier.
• Incoterms (Incoterms 2020): EXW Barcelos. DAP and DDP are not offered.
• Garment prices exclude freight. The buyer's courier or forwarder collects the goods at our facility or, at the buyer's request, White Cotton books the courier and invoices the transport separately at cost with no markup; the terms remain EXW. Shipping estimates may vary from actual cost.
• The buyer is responsible for customs clearance and for all import duties, VAT and taxes in the destination country.
• Full export documentation — commercial invoice, packing list, EUR.1 certificate and HS codes — is provided with every order.
• Risk of loss transfers to the buyer upon collection at our facility (EXW), including when White Cotton books the courier on the buyer's behalf; in that case transport insurance is available on request and appears as a line on the proforma when chosen.

10. Returns & Limitation of Liability

• All products are custom-manufactured. No returns are accepted except for verified manufacturing defects as defined in section 04.
• White Cotton shall not be liable for any indirect, incidental, special, or consequential damages.
• Total liability shall not exceed the amount paid for the specific order in question.

11. Force Majeure

• White Cotton shall not be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to natural disasters, pandemics, supply chain disruptions, government restrictions, or industrial action.
• In such events, we will notify the client promptly and offer revised timelines or alternative solutions.

12. Data Protection

White Cotton processes personal and company data in accordance with the General Data Protection Regulation (GDPR). See our Privacy Policy for full details.

13. Governing Law & Disputes

• These terms are governed by and construed in accordance with Portuguese and European Union law.
• Any disputes shall be resolved through arbitration in accordance with applicable regulations. The courts of Barcelos, Portugal shall have exclusive jurisdiction.

14. Digital Products (Playbooks and Tech Packs)

• Digital playbooks and tech packs generated with the tech pack builder are sold and fulfilled by GenuineBlanks, Unipessoal Lda (NIF: 517 820 714), the merchant of record for all digital product purchases. Payment is processed via Stripe.
• Digital products are delivered immediately after payment via email download link. By completing a purchase, you acknowledge that delivery begins immediately and you waive your 14-day right of withdrawal in accordance with EU Directive 2011/83/EU, Article 16(m).
• Digital purchases are non-refundable once the download link has been delivered.
• Playbooks are licensed to a single user and are non-transferable. They may not be shared, redistributed, or resold. Playbook files are watermarked with the buyer’s email address.
• Tech packs generated with the builder are yours to use for your own production. You may edit the document and send it to any factory, sample room or supplier, including ones other than White Cotton. You may not resell the document, the builder’s base templates or measurement blocks, or offer them as your own product. Tech packs are not watermarked.
• A tech pack is generated from the information you enter. You are responsible for reviewing every measurement, colour, fabric and artwork placement before production. Neither White Cotton nor GenuineBlanks is liable for garments produced by a third party from the document.
• Playbook download links are valid for 7 days. Tech pack download links are valid for about one hour and can be regenerated from the builder up to 5 times per purchase. If you need a new link, contact office@genuineblanks.com.
